They both have double membrane
they both have inter membrane space  
they both involved in ATP production via a proton gradient (across the thylakoid membrane of chloroplast, & across the cristae for mitochondria)
both have electron transport chain
both  are produced by binary fission
both have their own DNA, RNA & ribosomes
